These Terms and Conditions (“Terms”) govern the Token presale of the Company (the “Company” or “We” or “Us”). The Token is a digital utility token issued by the Company (the “Token”). It is offered in a presale campaign to fund development and reward early supporters. The Token does not represent or confer any ownership, equity, voting rights, or profit-sharing in the Company or any affiliate. Like other utility tokens, the Token is not intended to be financial security or currency. Instead, it is a means to access and use certain services on the XBO platform (the “Platform”). By participating in the presale, you acknowledge that you are not purchasing an investment or share in the Company, and tokens are provided “as is” without any guarantees of value.
Eligibility
Age Requirement: Participants must be at least 18 years old (or the age of majority in their jurisdiction). Legal Compliance: You must comply with all applicable laws in your jurisdiction. You acknowledge that it is your responsibility to determine whether you can legally participate in the token presale and to pay any taxes arising from your purchase. Purchases for business, investment, or illegal purposes are strictly prohibited.
Waitlist
Waitlist Access: As the Token has not yet launched, participation in the presale is only available through the official waitlist. Existing Users: Current users of the Platform will be automatically added to the waitlist. New Users: New participants must register to the waitlist. Priority & Rewards: Only the first 1,000 new users (“Eligible Participants”) on the waitlist may be eligible for early access to the presale and any related benefits or rewards, including bonus tokens. Bonuses and preferential pricing will be offered on a first-come, first-served basis, and are not guaranteed. Notification & Access: Waitlisted users will be notified of the presale launch and provided with instructions for participation. Waitlist position does not guarantee token availability. No Guarantee: Being waitlisted does not guarantee the right to purchase the Token or receive any bonuses. The Company reserves the right to modify or cancel the waitlist or any associated benefits at its discretion.
Presale Structure
Early-Bird Bonus: A 10% bonus will be granted only to the Eligible Participants from the waitlist who purchase a minimum of $ 1,000 USD worth of Tokens. Purchases below this threshold will not be eligible for the bonus. For example, a qualifying $1,000 purchase will yield 1,100 Tokens (1,000 purchased + 100 bonus).
Pricing: The presale price per Token (in USD or equivalent crypto) will be announced on the official website. The discounted price for early participants will be lower than the post-presale or public-sale price. After the bonus allocation is exhausted, tokens will be sold at the regular presale price. Supply Limits: A fixed supply of Tokens is allocated for the presale. Once this supply is sold or the presale period ends, no further Tokens will be sold at this stage. The presale end date is to be determined at the Company’s discretion. Distribution: Tokens (including bonuses) will be distributed to the Eligible Participants wallets after the waitlist period ends and the presale officially begins, according to the schedule that the Company will publish.
Presale Giveaway Raffle: All individuals who purchase Tokens during the presale will be automatically entered into a giveaway raffle. A total of 100,000 $XBO Tokens will be distributed to 53 winners as follows:
- First Prize: 25,000 XBO
- Second Prize: 15,000 XBO
- Third Prize: 10,000 XBO
- 50 additional winners will each receive 1,000 XBO
Winners will be selected at random and announced after the presale concludes. The Company reserves the right to verify purchase eligibility and disqualify entries that do not comply with the Terms.
Purchase Terms
The following purchase process applies only after the waitlist period concludes and the presale officially begins.
To participate in the presale at that time, you must:
- Follow the published instructions to submit payment
- specify a compatible wallet address for receiving Tokens. You will receive a payment address or a payment link. Your purchase is confirmed when the Company has received the required payment in full.

The exact accepted currencies and payment procedures will be detailed on the Platform.
Bonus Application
The 10% bonus tokens are automatically calculated on the number of purchased tokens and will be credited together. (For instance, a 10% bonus means purchasing N tokens entitles you to N + 0.1×N tokens.) Bonus tokens are granted only if the purchase is part of the qualifying early tranche and subject to any vesting schedule. The 10% bonus applies only to eligible purchases made by the Eligible Participants from the waitlist once the presale officially begins with a minimum amount of $1,000 USD.
Finality of Sale
All token purchases during the presale are final and non-refundable. The Company reserves the right to cancel any token purchase at its discretion, including for non-compliance with eligibility or legal requirements.
Token Utility
Platform Benefits: Tokens are designed to confer various utility benefits on the Platform. For example, holders may receive discounts on trading or transaction fees, cashback or reward points on certain activities, access to exclusive promotions, and the ability to stake tokens in the platform’s staking programs. In some programs, staking or holding tokens might yield additional tokens or other perks.
Evolving Features: All token utilities (fee discounts, staking rewards, governance rights, etc.) may change overtime. The Company may add, modify, or discontinue any token-based benefit at its discretion. There is no guarantee that any current or future utility will remain in effect. All utilities are provided “as is,”.
No Guarantee of Value
Price Volatility: Crypto tokens are speculative and highly volatile. The market price of the Token may fluctuate dramatically, and in some cases a token may lose all its value. Past performance is no guarantee of future results.
The Tokens are sold on an “AS IS” basis. The Company makes no warranties express or implied about token performance or value.
Refund Policy
Final Sale: All token purchases during the presale are final and non-refundable. Once you send payment to purchase theTokens, that sale cannot be undone, except as required by law or as noted below.
Exceptions: The only exception to finality is if the Company terminates the presale (for instance, failing to meet a minimum funding requirement) or as required by applicable law or court order. In such a case, the Company may return your payment (minus any transaction fees) and cancel the token issuance. No interest or additional compensation will be paid on any refunded amount.
Risk Acknowledgment
By purchasing the Tokens, you accept all risk of loss. The Company will not compensate for any decline in token value or failure to realize profit.
Legal Disclaimers
Securities Law: the Tokens are intended as utility tokens only. This presale and the tokens are not offered as investment contracts or securities. The Company is not registered as a securities issuer, and these Terms do not constitute an offer of securities in any jurisdiction.
No Advice: The information provided, and these Terms are for informational purposes only. This is not investment, financial, legal, or tax advice.
Regulatory Compliance: Participants must comply with all applicable laws and regulations, including anti-money laundering (AML) and know-your-customer (KYC) rules. The Company will collect and verify personal data to satisfy these obligations. Purchases may be cancelled if you fail verification or if your participation violates any law.
Tax Obligations: You are solely responsible for any taxes or reporting required by law in your jurisdiction due to the purchase, sale, use, or holding of the Tokens. The Company makes no representations about the tax treatment of transactions.
Personal Responsibility: You confirm that you understand the risks of buying crypto tokens. You acknowledge that you have sufficient knowledge of cryptocurrencies to evaluate the merits of this purchase. The Company does not warrant the safety or legality of your actions; you agree to hold the Company harmless from any claims arising from your conduct.
Limitation of Liability
To the fullest extent permitted by law, the Company, and its officers, directors, agents and affiliates, will not be liable for any losses or damages arising from the presale or the use of the Tokens. This includes, without limitation, indirect or consequential losses (such as lost profits or data), loss of goodwill, or any special, punitive or incidental damages.
The Company is not liable for any losses caused by market volatility, trading losses, or the failure of third-party services.
The Company will not be responsible for any failure to perform or loss due to events beyond its reasonable control. This includes but is not limited to natural disasters, acts of war, terrorism, cyberattacks, government actions.
Modification of Terms
The Company reserves the right to amend or update these Terms at any time within its sole discretion. Any change will be effective immediately upon posting on the official website. Your continued participation in the presale or use of the Tokens after such changes constitutes acceptance of the new Terms. It is your responsibility to review the Terms periodically.
